Wie benoemt een accountant?
De accountant wordt benoemd door de Algemene verga- dering van Aandeelhouders (AvA). De RvC doet daartoe een voordracht, waarbij zowel de AC als het bestuur advies uitbrengen aan de RvC (Principe V. 2 Code).
Wie tekent opdrachtbevestiging accountant?
De relatie tussen de accountant en zijn opdrachtgever is aan te merken als een overeenkomst van opdracht in de zin van titel 7.7 BW. Nadat de accountant de opdracht heeft aanvaard, dient hij deze door middel van een opdrachtbevestiging (ook wel “engagement letter”) aan het bestuur van de opdrachtgever te bevestigen.

De opdracht voor de controle van de jaarrekening wordt verleend door de algemene vergadering van aandeelhouders. Gaat deze daartoe niet over, dan is de raad van commissarissen bevoegd. Wanneer deze ontbreekt of in gebreke blijft, is het bestuur bevoegd om de accountant te benoemen.
Wie tekent bevestiging bij de jaarrekening?
Dit kan ook één persoon zijn. Degene die de LOR mag ondertekenen is dus degene die verantwoordelijk is voor het opstellen van de jaarrekening. Dit is feitelijk degene die de rechtspersoon mag vertegenwoordigen. Meestal is dat de bestuurder, een van de bestuurders of het gehele bestuur gezamenlijk.
